Terms of Service

By accessing or using HalbonCode ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Service. These Terms constitute a legally binding agreement between you and HalbonCode Ltd ("Company", "we", "us").

HalbonCode is an AI-powered code review platform that: • Analyses source code for security vulnerabilities, bugs, performance issues, and code quality. • Provides automated fix suggestions using AI language models. • Offers a VS Code extension and web dashboard. • Integrates with third-party AI providers via your own API keys (BYOK model). • Provides team collaboration, analytics, and project management features.

To access certain features, you must create an account. You agree to: • Provide accurate, current, and complete information. • Maintain the security of your password and API keys. • Accept responsibility for all activities under your account. • Notify us immediately of any unauthorised access. We reserve the right to suspend or terminate accounts that violate these Terms.

HalbonCode offers Free, Pro, and Team plans: • **Free Plan:** Limited features at no cost. • **Pro Plan (£9/month):** Full features for individual developers. • **Team Plan (£29/seat/month):** Collaboration features for teams. Pro and Team plans are billed monthly or annually through Stripe. You may cancel at any time. Cancellations take effect at the end of the current billing period. No refunds will be issued for partial months. We reserve the right to change pricing with 30 days' notice.

HalbonCode uses a BYOK (Bring Your Own Key) model. You are responsible for: • Obtaining and maintaining valid API keys from supported AI providers. • Complying with each provider's terms of service and usage policies. • Any costs incurred through your use of third-party AI APIs. We do not guarantee the availability, accuracy, or reliability of third-party AI providers. Review results may vary based on the model and provider used.

You retain full ownership of all code and content you submit to the Service. By using HalbonCode: • You grant us a limited licence to process your code solely for the purpose of providing the Service. • Code snippets are sent to your configured AI provider for analysis — we do not claim ownership of AI-generated suggestions. • You are responsible for reviewing and testing any AI-generated code fixes before applying them. • We do not store your source code beyond the review session unless you enable cloud sync.

You agree not to: • Use the Service for any unlawful purpose. • Submit malicious code intended to exploit or attack the Service. • Attempt to reverse-engineer, decompile, or disassemble the Service. • Circumvent any security measures or access controls. • Use the Service to generate harmful, abusive, or illegal content. • Share your account credentials with unauthorised users. • Resell or redistribute the Service without our written consent. • Use automated tools to scrape or extract data from the Service.

The Service, including its design, code, features, and documentation, is the intellectual property of HalbonCode Ltd. You may not copy, modify, or distribute any part of the Service without our prior written consent. The HalbonCode name, logo, and branding are trademarks of HalbonCode Ltd.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT: • The Service will be uninterrupted or error-free. • AI-generated code suggestions will be accurate, complete, or free of vulnerabilities. • The Service will meet your specific requirements. YOU ACKNOWLEDGE THAT AI-GENERATED CODE REVIEWS AND FIX SUGGESTIONS ARE NOT A SUBSTITUTE FOR MANUAL CODE REVIEW AND TESTING.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALBONCODE LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: • Loss of profits, data, or business opportunities. • Damages resulting from the use or inability to use the Service. • Damages resulting from reliance on AI-generated code suggestions. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

You agree to indemnify and hold harmless HalbonCode Ltd, its officers, directors, employees, and agents from any claims, damages, or expenses arising from: • Your use of the Service. • Your violation of these Terms. • Your violation of any third-party rights. • Any code or content you submit through the Service.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to the data practices described in our Privacy Policy.

We may suspend or terminate your account at any time for: • Violation of these Terms. • Non-payment of subscription fees. • Abuse of the Service or other users. Upon termination, your right to use the Service ceases immediately. You may export your data before account closure. We will retain your data for 30 days after termination, after which it will be permanently deleted.

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.

• **Entire Agreement:** These Terms, together with the Privacy Policy, constitute the entire agreement between you and HalbonCode Ltd. • **Waiver:** Our failure to enforce any right does not constitute a waiver of that right. • **Assignment:** You may not assign your rights under these Terms without our consent. • **Notices:** We may send notices via email or through the Service.
